1. Eligibility: This Contest is open only to those who enter through this link, https://www.instagram.com/verohairrestoration/, https://www.facebook.com/VEROHairRestoration/ and who are 18 as of the date of entry. The Contest is only open to legal residents of the United States and is void where prohibited by law. Employees of Venus Concept, its affiliates, subsidiaries, advertising and promotion agencies, and suppliers, (collectively the “Employees”), and immediate family members and/or those living in the same household of Employees are not eligible to participate in the Contest. The Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.
2. Agreement to Rules: By participating, the contestant (“You”) agree to be fully unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of Venus Concept as final and binding as it relates to the content of this Contest.Contest Period: Entries will be accepted online starting on [December 10^th 2020, 10 AM, EST] and ending [December 23^rd 2020, 11:59 PM, EST]. All online entries must be received by [December 23^rd 2020, 11:59 PM, EST].
3. How to Enter: The Contest must be entered by liking, mentioning a friend, and following our account at https://www.instagram.com/verohairrestoration/ or https://www.facebook.com/VEROHairRestoration/. The entry must fulfill all Contest requirements, as specified on the giveaway Instagram or Facebook post, to be eligible to win a prize. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Venus Concept.
4. Prizes: The Winners of the VERO Hair™ (ARTAS or NeoGraft) Giveaways will receive a free hair restoration procedure at a designated, participating VERO Hair™ provider closest to the winner for a value of up to $10,000 each. One ARTAS^® robotic hair restoration procedure winner (male) will be selected, along with one NeoGraft^® hair restoration winner (female). The exact value of each prize will depend on the number of grafts available from and needed for each patient, as well as the clinic where the procedure is to be completed. Upon acceptance of the prizes, the winner agrees to participate in the final professional photoshoot as the model. Venus Concept reserve the right to update, modify or change the Prize at any time during the Contest term at its sole discretion. Actual/appraised value may differ at time of prize award. The specifics of the prize shall be solely determined by [Venus Concept]. No cash or other prize substitution shall be permitted except at [Venus Concept’s] discretion. The prize is nontransferable. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of Winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Winner is permitted. Acceptance of prize constitutes permission for [Venus Concept] to use Winner’s name, likeness, photo, videos, and entry for purposes of advertising and trade without further compensation unless prohibited by law for a duration of up to 5 years. By accepting the prize the winner is agreeing to video and photo documentation throughout the course of their treatment plan. Lastly the winner will adhere to the treatment plan schedule to the best of their ability.
5. Odds: The odds of winning depend on the number of eligible entries received.Winner Selection and Notification: Winner will be selected by a random drawing under the supervision of Venus Concept. Winner will be notified by a direct message to their social account within five (5) days following selection of Winner. Venus Concept shall have no liability for Winner’s failure to receive notices due to spam, junk e-mail, or other security settings or for Winner’s provision of incorrect or otherwise non-functioning contact information. If Winner cannot be contacted, is ineligible, fails to claim the prize within 3 days from the time award notification was sent, or fails to timely return a completed and executed declaration and release as required, the prize may be forfeited and an alternate Winner selected. Receipt by Winner of the prize offered in this Contest is conditioned upon compliance with any and all federal, state, provincial, and local laws and regulations. The consulting clinic reserves right to reject treating the Winner with ARTAS^® or NeoGraft^® treatments at its sole discretion. If the winner does not complete the full course of treatments, the winner will not be eligible to receive the value of the treatments expenses. ANY VIOLATION OF THESE OFFICIAL RULES BY WINNER (AT Venus Concept’s SOLE DISCRETION) WILL RESULT IN WINNER’S DISQUALIFICATION AS WINNER OF THE CONTEST, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
6. Contestant Conduct: By participating in the Contest you are representing that you have the right, power and legal capacity to enter into a binding agreement and are not otherwise prohibited from taking part in any of the Contest activities or receiving the Prize. You are solely responsible for your conduct and any data, text, information, screen names, graphics, photos, profiles, audio, video and other media, links or any other content that you share submit post or display ("Content"). Venus Concept shall bear no liability whatsoever in respect of any of your Content.
7. Rights Granted by You: You hereby grant to Venus Concept, anyone acting on behalf of Venus Concept, and Venus Concept’s licensees, successors, and assigns, the right to use your trademark, logo and Content in promotional campaign in all forms of media. You expressly agree that Venus Concept is allowed to use your trademark, logo and Content in marketing materials and on its website and social media, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the world, without limitation, your entry, name, portrait, picture, voice, likeness, image, statements about the Contest, and biographical information for news, publicity, information, trade, advertising, public relations, and any promotional purposes, without any further compensation, notice, review, or consent.
8. Release:Winners (and if applicable, any guest of the winner) may be required to execute a legal agreement and release (“Release”) that confirms his or her: (i) eligibility for the Contest and compliance with these Rules; (ii) acceptance of the prize as offered; (iii) release of the Sponsor, and Sponsor respective parent companies, subsidiaries, affiliates and/or related companies and each of their employees, directors, officers, suppliers, agents, administrators, licensees, representatives, advertising, media buying and promotional agencies (collectively, the “Releasees”) from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Contest, participation in any Contest-related activity or the acceptance, use, or misuse of any prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; and (iv) grant to the Sponsor of the unrestricted right to produce, reproduce, convert, publish, broadcast, communicate by telecommunication, exhibit, distribute, translate, adapt, and otherwise use or re-use the submitted content, his or her name, image, likeness, comments, voice and/or biography in any and all media now known or hereafter devised in connection with publicity related to the Contest. The executed Release(s) must be returned within two (2) business days of the date indicated on the accompanying letter of notification or verification as a winner, or the selected individual(s) will be disqualified and any rights he or she may have to the prize will be forfeited.
9. Limitation of Liability: By entering, You agree to release and hold harmless Venus Conceptand its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant’s participation in the Contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries.
10. Disputes: THIS CONTEST IS GOVERNED BY THE LAWS OF ONTARIO, CANADA, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Contest, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Ontario, Canada. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Contest). Participant further waives all rights to have damages multiplied or increased.

Winners List: To obtain a copy of the Winner’s name or a copy of these Official Rules, mail your request along with a stamped, self-addressed envelope to: Venus Concept 235 Yorkland Blvd., Suite 900, Toronto, ON M2J 4Y8 Canada. Requests must be received no later than 1 month after the winner has been announced.
